Terms of service.
The agreement covering your organization’s use of SimChrona. Please read it carefully.
Last updated: September 28, 2026
These Terms of Service (“Terms”) govern access to and use of the SimChrona mobile application, website, and related services (the “Service”), provided by HealthTok, LLC, a Colorado limited liability company (“HealthTok,” “we,” “us”). By creating an account, entering an access code, purchasing a subscription, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.
1. The Service
SimChrona is a training tool for recording the timing of interventions, staff arrivals, and notes during medical simulation exercises (for example, mock code drills) and for generating reports about those exercises. The Service is intended for education and training only.
2. Not for clinical use; no patient information
The Service is not a medical device, is not intended for use in the care or treatment of real patients, and does not provide medical advice. Guideline comparisons and AI-generated feedback are educational training feedback only. They are not a clinical, legal, credentialing, or certification assessment of any person’s performance, and you should not rely on them as such.
You must not enter protected health information (PHI) or any other information about real patients into the Service, including in free-text fields. HealthTok is not a business associate under HIPAA with respect to the Service, and you are responsible for any information you choose to enter.
3. Accounts and access
To use the Service you must sign in with an email address and be approved by HealthTok. We may limit sign-up to organizational (institutional) email addresses and may approve, deny, suspend, or revoke access at our discretion. You are responsible for activity under your account and for keeping access to your email and device secure. Device-level locks such as Face ID are a convenience only and are not an identity verification system.
4. Subscriptions, trials, and access codes
Plans. Paid features are available to organizations through annual subscriptions (for example, Team, Department, and Site License plans), each with the seat limits described at purchase. Features available without a paid plan may be limited and may change.
Access codes. A subscription is associated with an organization access code. The purchasing organization is responsible for distributing its code only to its own authorized personnel, within its seat limit. We may deactivate a code that is shared beyond the purchasing organization or used in excess of its seats.
Free trials. We may offer a free trial. Unless you add a payment method or otherwise arrange payment before the trial ends, paid features end when the trial ends.
Fees and renewal. Fees are billed annually in advance through our payment processor (Stripe) or by invoice. Subscriptions renew automatically for successive one-year terms at the then-current rate unless canceled before the renewal date. Founding-program pricing, where offered, continues for as long as the subscription remains active without interruption. Invoices are due as stated on the invoice. Fees are exclusive of taxes, which you are responsible for, other than taxes on our income.
Cancellation and refunds. You may cancel at any time through the billing portal or by contacting us; cancellation takes effect at the end of the current paid term. Except where required by law, fees are non-refundable and we do not provide refunds or credits for partial terms or unused seats.
Price changes. We may change prices for future renewal terms with at least 30 days’ notice.
5. Your data
As between you and HealthTok, you (or your organization) own the simulation data you enter into the Service (“Your Data”). You grant HealthTok a limited license to host, process, and display Your Data as needed to provide, secure, and support the Service, including sending relevant portions to our service providers (for example, hosting, email delivery, and AI processing for features you request). Our handling of personal information is described in our Privacy Policy.
We may use aggregated, de-identified information about use of the Service to operate and improve it, provided it does not identify you, your organization, or any individual.
6. Acceptable use
You will not: (a) enter real patient information; (b) use the Service for any unlawful purpose; (c) share accounts or access codes outside your organization; (d) attempt to gain unauthorized access to, interfere with, or disrupt the Service; (e) reverse engineer, decompile, or copy the Service except as permitted by law; or (f) resell or provide the Service to third parties.
7. Intellectual property
The Service, including its software, design, content, and trademarks (including “SimChrona” and “HealthTok”), is owned by HealthTok or its licensors and protected by law. Subject to these Terms and any applicable subscription, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal training purposes. If you send us feedback, we may use it without obligation to you.
8. Third-party services
The Service relies on third-party providers (such as app stores, payment processing, hosting, and email). Your use of those services may be subject to their own terms. Apple and Google are not parties to these Terms and have no obligation to provide support for the Service.
9. Availability and changes
We work to keep the Service available, but it is provided without a guaranteed uptime. Recording works on your device without a connection; syncing, shared sessions, and some features require one. We may modify, suspend, or discontinue features at any time. If we discontinue the Service entirely, we will provide reasonable notice and a pro-rata refund of prepaid fees for the unused term.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHTOK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT TIMESTAMPS, REPORTS, GUIDELINE COMPARISONS, OR AI-GENERATED CONTENT WILL BE COMPLETE OR ACCURATE.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHTOK WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE. HEALTHTOK’S TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO HEALTHTOK FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100 IF YOU HAVE PAID NOTHING.
12. Indemnification
You will defend and indemnify HealthTok against third-party claims arising from Your Data (including any real patient information you enter), your violation of these Terms, or your misuse of the Service.
13. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or fail to pay fees when due. On termination, your right to use paid features ends. We handle retention and deletion of Your Data after termination as described in our Privacy Policy. Sections 2, 5, and 10–15 survive termination.
14. Governing law and disputes
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-laws rules. Any dispute will be brought exclusively in the state or federal courts located in Denver, Colorado, and both parties consent to jurisdiction there.
15. General
These Terms, together with any order form or invoice and the Privacy Policy, are the entire agreement regarding the Service. If an organization has a separately signed agreement with HealthTok, that agreement controls where it conflicts with these Terms. We may update these Terms; material changes will be posted here with a new “Last updated” date and, where appropriate, notified by email. Continued use after changes take effect means you accept them. If any provision is unenforceable, the rest remain in effect. Neither party is liable for delays caused by events beyond its reasonable control. You may not assign these Terms without our consent. Our failure to enforce a provision is not a waiver.
